1.General 1.1 This Website is owned and operated by Inspect-China Inspection Ltd and is made available on the following terms and conditions. By using the Website you accept these terms and conditions, which shall be interpreted according to the laws of China. 1.2 Unless otherwise agreed in writing by Inspect-China inspection services Limited (hereinafter called “ICS”), the services offter by Inspect-China are abiding by the following general conditions of services. 1.3 The Company may perform services for persons or entities (private, public) (hereinafter, the “Client”). Unless the Company receives prior written instructions from Client, no other party is entitled to give instructions, particularly on the scope of the quality consultant services. The result of the Service will materialize on a certificate or document (hereinafter called the “Report”) to present the necessary information that Inspect-China has been requested to and will be issued as fax, or written document, or electronic documents. 2.Provision of Services 2.1 The Company will provide services using reasonable care and skill and in accordance with Client's specific instructions as confirmed by the Company or, in the absence of such instructions: (1) the terms of any standard order form or standard specification sheet of the Company; and/or (2) any relevant trade custom, usage or practice; and/or (3) such methods as the Company shall consider appropriate on technical, operational and/or financial grounds. 2.2 Information stated in Reports of Findings is derived from the results of inspection carried out in accordance with the instructions of Client, and/or our assessment of such results on the basis of any technical standards, or practice. 2.3 Reports of sample picking issued contain the Company’s opinion on those samples only and do not express any opinion uponthe lot from which the samples were drawn. 2.4 Should Client request that the Company witness any third party intervention, Client agrees that the Company’s soleresponsibility is to be present at the time of the third party’s intervention, the company purely witness the condition by faithful records by means of taking photos and written report in an independent, impartial and objective approach. 2.5 Reports of Findings issued by the Company will reflect the facts as recorded by it at the time of its intervention only and within the limits of the instructions received or, in the absence of such instructions, The Company is under no obligation to refer to any facts or circumstances which are outside the specific instructions received. 3.Obligations of Client The Client will: 3.1 ensure that sufficient information, instructions and documents are given in due time (and, in any event not later than 48 hours prior to the desired intervention) to enable the required services to be performed; 3.2Supply, if required, any special equipment and personnel necessary for the performance of the services; 3.3 ensure that all necessary measures are taken for safety and security of working conditions, sites and installations during the performance of services and will not rely, in this respect, on the Company's advice whether required or not; 4.Fees and Payment 4. 1 In the event any unforeseen problems or expenses arise in the course of carrying out the services the Company shall endeavour to inform Client and shall be entitled to charge additional fees to cover extra time and cost necessarily incurred to complete the services. 4.2 If the Company is unable to perform all or part of the services for any cause whatsoever outside the Company’s control including failure by Client to comply with any of its obligations, the Company shall refund a proportion of the agreed fee, 5 times the service fee agreed and up to 10 times under special conditions, but in no circumstances, more than 10,000 US$. 4.3 With regard to new clients, Payment is expected to settle online upon booking prior to the performance of the Service. Should payment occur after the performance of the Service, an extra 3.5 % charge will be added to the order pricing. 4.4 Monthly invoice will be sent by email at month-end, including all services performed during the month, Monthly invoices is desired to make Immediate payment upon receipt, each party bearing their own bank charges. Late payment will incur an interest charge at 3.5% per month. 4.5 Inspect-China offers 2 payment methods: 4.5.1 Online payment : Inspect-China offers Paypal as online payment method. Paypal payment processing fees (see Paypal conditions on www.paypal.com) is exclusive to the service price quotes. 4.5.2 Offline payment : Invoices can be settled offline by transfer (T/T) for an extra 4.1% handling fee. 4.6 In regard to invoices with additional expenses agreed with client prior to the performance of serivces (travel expenses for orders outside of our network), these orders will be charged based on real travel expenses (photocopy or digital photos of receipts will be provided upon requests). Should the payment had occurred prior to the service performed, an advance for travel expenses might have been charged. 4.7. Cancellation charges : clients are entitled to cancel order until 2 pm (China Time) the day before the appointed Inspection date. After the limit, the Services already booked will be charged in full payment. Clients are advised to re-charge this cost to their factory as a result of proven mistaken. 5.Limitation of Liability: 5.1 The Company is neither an insurer nor a guarantor and disclaims all liability in such capacity. Clients seeking a guarantee against loss or damage should obtain appropriate insurance. 5.2 Reports of Findings are ssued on the basis of information, documents that the online booking filled by the Client, and/or samples provided by, or on behalf of, Client and solely for the benefit of Client who is responsible for acting as it sees fit on the basis of such Reports of Findings. Thus, Inspect-China is under no obligation to indentify and/or report corresponding information that client doesn’t require by its online-booking. Furthermore, Inspect-china shall not be liable to investigate, analyse or/and inspect the internal mechanics, the safety conformance during the performance of quality consultant service. 5.3 The Company shall not be liable for any delayed, partial or total non-performance of the services arising directly or indirectly from any event outside the Company’s control including failure by Client to comply with any of its obligations hereunder. 5.4 The liability of the Company in respect of any claim for loss, damage or expense of any nature and howsoever arising shall in no circumstances exceed a total aggregate sum equal to 10 times the amount of the fee paid in respect of the specific service which gives rise to such claim. 5.5 The Company shall have no liability for any indirect or consequential loss including without limitation loss of profits, loss of business, loss of opportunity, loss of goodwill and cost of product recall. It shall further have no liability for any loss, damage or expenses arising from the claims of any third party (including, without limitation, product liability claims) that may be incurred by the Client. 5.6 In the event of any claim, Client must give written notice to the Company within 30 days of discovery of the facts alleged to justify such claim and, in any case, the Company shall be discharged from all liability for all claims for loss, damage or expense unless suit is brought within 6 monthes from: the date of performance by the Company of the service which gives rise to the claim; or the date when the service should have been completed in the event of any alleged non- performance. 5.7 In the event of the service of Pre-shipment inspection: Inspect-China shall have no liability for the portion of incompletion of production at the time of Inspect-China’s working staff’s arrival. 5.8 The report and/or its certificate doesn’t evidence the shipment. The issuance of the report does not exonerate the buyers from exercising all their rights and does not release the manufacturer or seller from his contractual liabilities and responsibilities for its products. 6.Suspension or Termination of Services The Company shall be entitled to immediately and without liability either suspend or terminate provision of the services in the event of: (1). failure by the Client to comply with any of its obligations hereunder and such failure is not remedied within 10 days that notice of such failure has been notified to Client; (2). or any suspension of payment, arrangement with creditors, bankruptcy, insolvency, receivership or cessation of usiness by Client. 7.Governing Law, Jurisdiction and Dispute Resolution 7.1 Unless otherwise provided, these terms and conditions shall be governed by and construed in accordance with China Law. 7.2 All disputes or differences of any kind whatsoever between the parties in connection with or arising out of the services shall be submitted to the non exclusive jurisdiction of the courts of China. 8.Copyright 8.1 You acknowledge that the copyright, database rights, and all other intellectual property rights comprised in or relating to this Website and in the data it contains belongs to Inspect-China. It is licensed to ICS and is protected by copyright and other proprietary rights. 8.2 You are permitted to print or download extracts from this material (reports, invoice, certificate, web content ) for your personal use only. None of this material may be distributed or edited in anymanner without the prior written authorization of Inspect-China. 8.3 Inspect-China has made every effort to guarantee that the security of the data and information contained on this Site. ICS does not give any warranty or other assurance as to the operation, quality or functionality of the site. Access to the site may be interrupted, restricted or delayed for any reason. 9.Language These terms and conditions have been drafted in English.
